Arash Micaily is an associate in the Philadelphia office of Lavin, O’Neil, Cedrone & DiSipio and a member of the Business and Financial Services Group.
Mr. Micaily earned his Juris Doctor from Temple University Beasley School of Law in 2008. Prior to joining Lavin, O’Neill, Cedrone & DiSipio, Mr. Micaily spent worked as an Environmental and Transactional counsel for various Fortune 500 companies providing counseling on regulatory, transactional, and litigation matters. He received his Bachelor of Arts in Economics from Villanova University in 2003.
Mr. Micaily has represented both regional and national clients in the following aspects of their businesses:
Preparing and drafting agreements relating to Mergers and Acquisition, exchanges, divestitures and corporate governance;
Counseling clients in public companies in securities compliance;
Counseling and litigating on behalf of clients for issues involving Environmental regulatory compliance and due diligence;
E-discovery preparation and defense;
Counseling corporate clients on corporate governance, investor relations and regulatory compliance requirements; and
Preparation of gaming applications and performance of regulatory analysis for casino resorts in Pennsylvania.

Representing one of the world’s leading vegetation management company, a privately owned business serving utilities and municipalities throughout the United States, Canada, Australia and New Zealand, with respect to acquisitions, mergers, conversions, divestiture of subsidiaries, credit agreements, loan agreements, real estate and financing transactions and tax matters.
Representing a university-affiliated, international religious organization in drafting and reviewing contracts and obtaining private revenue bond financing for construction of facilities.
Serving as outside general counsel to the nation’s largest medical specialty organization, with more than 100,000 members. Drafting employment agreements, independent contractor agreements, corporate governance documents, employment matters, master services agreements and other operating issues.
Mr. Micaily also represents local and national non-profit and real estate clients in acquisitions, sales, financing, construction and development. He also counsels privately-owned businesses on various legal issues involving their business operations.
Mr. Micaily is admitted to practice law in the Commonwealth of Pennsylvania. He enjoys following sports, including basketball, football, and baseball in his leisure time.
